1. Acceptance of Terms

By accessing and using the services provided by MZG Tech (Mohamed Zouaa Group Technology), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

MZG Tech provides software development services including but not limited to:

• Website development and design
• Web application development
• E-commerce solutions
• Software maintenance and support

3. Service Agreement

3.1 Project Scope

All projects will be defined by a detailed project proposal that outlines deliverables, timelines, and costs. Any changes to the project scope must be agreed upon in writing by both parties.

3.2 Payment Terms

Payment terms will be specified in individual project agreements. Generally, we require:

• 50% payment upon project commencement
• 50% payment upon project completion and delivery
• Payment is due within 30 days of invoice date

3.3 Timeline

Project timelines are estimates and may be subject to change based on project complexity, client feedback, and unforeseen circumstances. We will communicate any delays promptly.

4. Intellectual Property Rights

4.1 Client Ownership

Upon full payment, the client will own all rights to the custom-developed software, including source code, documentation, and related materials created specifically for the client's project.

4.2 Third-Party Components

Any third-party libraries, frameworks, or components used in the project remain subject to their respective licenses. We will inform clients of any third-party dependencies and their licensing requirements.

4.3 MZG Tech Rights

MZG Tech retains the right to use general knowledge, skills, and methodologies developed during the project for future projects, provided no confidential client information is disclosed.

5. Confidentiality

We understand the importance of protecting your confidential information. We agree to:

• Keep all client information strictly confidential
• Not disclose any confidential information to third parties without written consent
• Use confidential information only for the purpose of providing our services
• Return or destroy all confidential materials upon project completion

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 90-day warranty on all custom software development work for defects in workmanship.

6.2 Limitation of Liability

To the maximum extent permitted by law, MZG Tech's liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

6.3 No Warranties

We make no warranties regarding third-party software, hardware, or services that may be used in conjunction with our deliverables.

7. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements
• Timely feedback and approval of deliverables
• Providing necessary access to systems and resources
• Payment according to agreed terms
• Compliance with applicable laws and regulations

8. Termination

8.1 Termination by Client

Clients may terminate a project with 30 days written notice. Payment is due for all work completed up to the termination date.

8.2 Termination by MZG Tech

We may terminate a project if the client fails to make payments, breaches confidentiality, or fails to provide necessary cooperation for project completion.

9. Data Protection and Privacy

We are committed to protecting your privacy and personal data. Our data collection and processing practices are detailed in our Privacy Policy, which forms part of these terms.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

11. Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website and will become effective immediately. Continued use of our services constitutes acceptance of the modified terms.
